Nobody is immune to a potential conflict. Some of these matters may be resolved in a court of law, while most can be resolved in a private and confidential setting.

Conflicts arise for various reasons, not the least of which comes from disagreements or discrepancies regarding a company’s reported financial results; differences in opinion on the valuation of a business or business interest; and the performance requirements regarding agreed upon future payouts or purchase price adjustments.

Whether you are a buyer or a seller, every investor seeks to maximize the value of their investment and will inevitably have opposing interests. These situations can often become emotionally charged, adding to the confidentiality and complexity of the dispute. ARBITRATOR

  • Served as the Arbitrator related to post-closing working capital dispute related to a consumer products business. Disputed items included inventory valuation among other items.
  • Served as an Arbitrator related to post-closing working capital dispute related to a pharmaceutical company. Disputed items included inventory valuation among other items.
  • Served as an Arbitrator related to post-closing working capital dispute related to a software company. Disputed items included the proper treatment of certain receivables and grants.
  • Served as the Arbitrator involving post-closing minimum net worth tested related to the merger of two financial institutions. Disputed items included the fair value of the mortgage portfolio.
  • Served as the Chairman of an Arbitration Panel involving post-closing minimum net worth test related to the merger of two financial institutions. Disputed items included the fair value of the mortgage portfolio.

TESTIFYING EXPERT

  • Served as a Testifying Expert in an arbitration proceeding related to a specialized investment banking firm in connection with the take out of the founder and significant unit holder.
  • Served as a Testifying Expert in an arbitration proceeding for a family owned and operated specialty apparel business. The case involved a Dissolution of the Business and take-out of a family member and shareholder.

THIRD-PARTY APPRAISER

  • Served as the Third-Party Appraiser related to the formation of joint venture in the asset management industry. Valued the contributed assets to determine the equity ownership percentages and the amount required to be paid to acquire a controlling interest.
  • Served as the Third-Party Appraiser related to the valuation of a nationally recognized restaurant chain in connection with a pending option to acquire the business and the sale of certain management interests.

CONSULTANT

  • Served as a Consultant in the consumer apparel industry. Hired to independently identify a third-party appraiser and develop an efficient process to value the economic interest held by the founder in connection will a Buy/Sell and Put Agreement.
